Set up a Spain company

Fast-track SL under Ley 7/2003. Capital 3.012 to 120.202 EUR, 1 to 5 socios at incorporation, simplified statutes. Useful for very lean cap tables.

Stock corporation. Minimum capital 60.000 EUR (25% paid up = 15.000 EUR). Required for regulated activities (banking, insurance) and standard for fundraising vehicles. LSC arts. 47 to 110.

Sole-shareholder SL. Same regime as the SL except a unipersonalidad annotation is filed at the Registro Mercantil within 6 months (LSC arts. 12 to 17).

Civil partnership under Codigo Civil arts. 1665+. No limited liability; the partners are jointly liable. Used for small professional collaborations where the SL overhead is not worth it.

Spanish establishment of a foreign parent. No separate legal personality; the parent is liable. Registered at the Registro Mercantil under arts. 295+ of the Reglamento del Registro Mercantil.
